Terms of Service
These terms govern your use of StoneHill Marketing's website and services. Please read them carefully.

These Terms of Service form an agreement between you or your business ("Client", "you") and 14471997 Canada Inc., operating as StoneHill Marketing ("StoneHill", "we", "us"). By accessing our website, requesting a demo, purchasing a plan, or using any of our services, you agree to these terms.
Where a separate signed proposal, statement of work, or order form exists, that document governs in the event of a conflict with these terms.
2. Description of services
StoneHill provides, depending on the plan or scope agreed:
- AI Receptionists — configured voice agents that answer inbound calls, capture enquiries, qualify callers, and book, reschedule, or cancel appointments.
- Voice AI — scripting, voice selection, conversation design, and ongoing tuning of the voice experience.
- Websites — design, build, and maintenance of business websites and landing pages.
- Automation — workflows that connect calls, forms, calendars, spreadsheets, and other business systems.
- Marketing services — content, campaign, and social media support, including publishing client-approved content to Pages we manage.
Services are delivered as configured and agreed at onboarding. We may improve or modify the underlying technology provided the agreed functionality is maintained.
3. Client responsibilities
- Provide accurate business information, service details, pricing, hours, and scripts needed to configure the services
- Grant and maintain the authorizations and platform access required to deliver the services, and revoke them if the engagement ends
- Review and approve scripts, content, and posts before publication
- Ensure that your use of call recording, messaging, and marketing complies with the laws applying to your business, including consent and notification requirements
- Respond to escalated calls, messages, and callbacks that the AI receptionist hands off to your team
- Maintain the security of your own accounts and credentials
4. Payment terms
- Plans are billed in Canadian dollars (CAD) unless otherwise agreed in writing.
- Setup or onboarding fees, where applicable, are due before configuration begins.
- Recurring subscription fees are billed monthly in advance and renew automatically until cancelled.
- Payments are processed by our third-party payment processor; you agree to their terms when checking out.
- Fees are non-refundable except where required by law, and amounts already invoiced for work performed remain payable.
- Late or failed payments may result in suspension of services after notice.
- Taxes, including applicable Canadian sales taxes, are charged in addition to listed prices where required.
5. Intellectual property
StoneHill retains ownership of its platform, tooling, prompt architecture, workflow templates, methodologies, and all pre-existing materials. You retain ownership of your business content, trademarks, customer data, and materials you supply to us.
Upon full payment, you receive a perpetual, non-exclusive licence to use the deliverables produced specifically for your business, such as your website and your configured scripts, for your own business purposes.
6. Confidentiality
Each party will keep the other's non-public information confidential, use it only to perform or receive the services, and protect it with reasonable care. This obligation does not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law.
7. Acceptable use
You agree not to use our services to:
- Violate any applicable law, regulation, or third-party platform policy
- Send unsolicited, deceptive, or unlawful calls, messages, or marketing
- Impersonate another person or business, or misrepresent your identity or authority
- Handle regulated data categories we have not agreed to support, such as payment card data or protected health records, without a written arrangement
- Attempt to reverse engineer, resell, or sublicense our platform without written permission
- Interfere with, overload, or attempt to gain unauthorized access to our systems
We may suspend services immediately where use presents a legal, security, or platform-compliance risk.
8. Service availability
We aim for high availability but do not guarantee uninterrupted service. Our services depend on third-party telephony, model, calendar, and hosting providers, and outages or changes at those providers may affect performance. We may perform maintenance, and will give reasonable notice for planned work that affects service.
9. Limitation of liability
To the maximum extent permitted by law, StoneHill is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost business opportunities, or missed calls or bookings. Our total aggregate liability arising out of or related to the services is limited to the fees you paid to StoneHill in the three months preceding the event giving rise to the claim.
Services are provided "as is" and "as available", without warranties beyond those that cannot be excluded by law.
10. Indemnification
You agree to indemnify and hold harmless 14471997 Canada Inc., its directors, officers, and personnel from claims, damages, losses, and reasonable legal costs arising from your business operations, the content and scripts you approve, your use of call recording or marketing communications, your breach of these terms, or your violation of applicable law or third-party platform policies.
11. Termination
Either party may terminate a monthly engagement with 30 days' written notice. We may suspend or terminate immediately for non-payment, unlawful use, or breach of these terms. On termination we stop delivering services, revoke platform access, and — on request — delete client data in accordance with our Data Deletion process.
12. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The courts located in Ontario, Canada have exclusive jurisdiction over any dispute arising from these terms or the services.
